SBA External Site: Terms of Use

The SBA website is comprised of various web pages owned and operated by the SBA, located at www.sbaedge.com (the "Site"). The terms "SBA", "we", "us" and "our" refer to SBA Edge, LLC, a company registered in the state of Florida, USA. To facilitate your use of our Site and associated services, as well as to ensure a clear understanding of the relationship arising from your use of the Site and participation in these services, we have created: (i) these Terms and Conditions of Use (the "Terms") and (ii) a Privacy Policy, available at: www.sbaedge.com/terms and www.sbaedge.com/privacy. Our Privacy Policy explains how we treat the information you provide through the Site, and our Terms govern your use of the Site.

Applicability of the Agreement

This Agreement applies to the SBA, its subsidiaries, affiliates and their respective websites.

Your Right to Access and Use www.sbaedge.com

The right to access and use www.sbaedge.com is personal and non-transferable. You are authorized to access and use the site solely for lawful purposes and as set forth in these Terms. By using the site, you agree to these Terms. In addition, for certain activities, we may ask you to confirm your agreement by clicking on an "I agree" button.

Intellectual Property and Reservation of Rights

All content available on or through the Site - including press releases, data, information, software, artwork, text, video, audio, images, trademarks, trade dress and other intellectual property - is the property of SBA and its licensors (collectively, the "Content"). SBA also owns the copyright in the compilation, selection, arrangement and enhancement of such Content as displayed on the Site. The Content is protected by U.S. and international copyright laws, as well as other intellectual property laws. SBA retains all rights in the Content and the Site except those expressly granted to you in these Terms. You are prohibited from duplicating, publishing, displaying, distributing, modifying or creating derivative works of the Content, except as expressly authorized in writing by the SBA Legal Department.

Available Software

Any and all software made available on the Site ("Software") is copyrighted by the SBA and/or its licensors. Use of the Software is governed by the terms of the accompanying end user license agreement ("License Agreement"). The Software may only be installed if the user accepts the terms of the License Agreement. Reproduction or redistribution of the Software outside the terms of the License Agreement is expressly prohibited.

Granting Rights to All Users

By accepting these Terms, we grant you the right to access and use all public areas of the Site, Content and services, as well as, if authorized, password-protected areas, to: (i) learn more about SBA and the services we offer; (ii) submit information through our Site; (iii) download and print pages from our Site on a personal computer; and (iv) access other information made available. These permitted uses are exclusively for personal and non-commercial purposes.

Materials Provided to the SBA or Published on the Site

SBA does not claim ownership of the materials you submit (including feedback and suggestions) or post on any SBA Web site (collectively, "Submissions"). However, by making any Submission, you grant SBA, its affiliates and sublicensees the rights to use such materials in their online businesses, including rights to copy, distribute, transmit, display, edit, translate, repurpose and publish your name in connection with the Submission.

You declare that you own or control all rights to the materials submitted, including those necessary to post them.

Use of Online Communication Services

The site may contain forums, chat areas, newsgroups, communities, calendars and other means of communication ("Communication Services"). You undertake to use these services only for lawful and relevant purposes. It is forbidden, among other actions:

- Defame, harass, threaten or violate the legal rights of others;
- Publish inappropriate, offensive, illegal or copyright-infringing content;
- Sending files containing viruses or harmful software;
- Promoting products, services or commercial schemes;
- Collecting personal data from third parties without consent;
- Violate any applicable law or regulation.

SBA may monitor or limit access to the Communication Services in its sole discretion. All communication may be monitored as indicated in the Privacy Policy.

Disclaimer of Warranties and Limitation of Liability

The information, software, products and services made available may contain errors or inaccuracies and are provided "as is" without warranties of fitness, accuracy, security, merchantability or fitness for a particular purpose. SBA does not warrant that files available for download are free of viruses or harmful code.

In no event shall the SBA be liable for any direct, indirect, punitive, special or consequential damages arising out of the use of the Site, even if it has been advised of the possibility of such damages. If you are dissatisfied with the Site or any provision of these Terms, your sole remedy is to stop using it.

Equipment and connectivity costs

You are solely responsible for obtaining and maintaining the equipment necessary to access the Site, as well as for the costs associated with the internet connection.

Links to Third Party Sites

The Site may contain links to third party sites ("Linked Sites"). SBA is not responsible for the content, updates or practices of these sites. The inclusion of a link does not imply endorsement or association. Any transaction with Linked Sites is solely the responsibility of you and the site operator.

Termination of Agreement

You may terminate this Agreement at any time by contacting the SBA at 1-800-487-SITE. SBA may terminate this Agreement or your access to the Site at any time without notice.

Compensation

You agree to indemnify the SBA and its representatives for any damages, losses or expenses resulting from your use of the Site or violation of these Terms.

Third Party Rights

This Agreement benefits the SBA and its affiliates, which can directly demand compliance with its clauses.

Changes

The SBA may change these Terms at any time, effective upon your next access to the Site. We recommend that you periodically review this Agreement.

Miscellaneous Provisions

This Agreement is governed by the laws of the State of Florida, USA, and any disputes will be resolved by arbitration in Palm Beach County. Neither party shall be entitled to punitive damages.

If any clause is deemed invalid, the others remain in force. This Agreement does not create any employment, partnership or representation relationship between you and the SBA.
